You may submit prompts, instructions, files, media, reference materials, metadata, and other content to the Services ("Inputs") and receive generated or transformed results ("Outputs").

As between you and Neo Manta LLC, and to the extent permitted by applicable law, you retain whatever ownership rights you have in your Inputs. Subject to your compliance with these Terms and applicable law, we assign to you our rights, if any, in Outputs generated specifically for your use.

You acknowledge that Outputs may not be unique, and other users may receive similar or identical results from the Services.

4.2 License You Grant to Us

You grant Neo Manta LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, transmit, and process your Inputs and Outputs as reasonably necessary to operate, secure, maintain, improve, and provide the Services, including abuse prevention, troubleshooting, quality review, model improvement where permitted, and legal compliance.

4.3 Your Responsibility for Content

You are solely responsible for your Inputs, Outputs, and any other content you upload, generate, publish, export, or share through the Services (collectively, "User Content"). You represent and warrant that you have all rights, permissions, and lawful bases necessary for your User Content and your use of the Services.

You must not submit or generate content that infringes intellectual property, privacy, publicity, confidentiality, or other legal rights of any person or entity.

You may not use the Services for unlawful, abusive, fraudulent, deceptive, or harmful purposes.

Without limitation, you may not use the Services to:

1. Create or distribute unlawful, defamatory, harassing, hateful, or extremist content.
2. Create sexual content involving minors, or any exploitative or non-consensual intimate content.
3. Impersonate others, commit fraud, deceive users, or falsify identity, origin, or authenticity.
4. Generate content intended to scam, phish, extort, or manipulate financial or legal transactions.
5. Infringe copyrights, trademarks, publicity rights, privacy rights, or other third-party rights.
6. Create content for unlawful political manipulation, voter suppression, or deceptive influence operations.
7. Attempt to generate forged documents, payment cards, IDs, licenses, certificates, or similar materials.
8. Upload malware, interfere with platform security, scrape the Services, or bypass technical protections.
9. Reverse engineer, probe, exploit, overload, or disrupt any part of the Services or related systems.
10. Use the Services in violation of any applicable law, regulation, sanctions program, or industry rule.

We may investigate violations and may remove content, limit access, suspend accounts, terminate accounts, or cooperate with law enforcement or regulators where appropriate.

Certain Services may require payment. Prices, usage limits, plan terms, and feature availability may vary by product, region, promotion, or platform.

If the Services use prepaid credits, usage units, tokens, or similar stored-value balances (collectively, "Credits"), such Credits are licensed for use within the Services only, have no cash value unless required by law, are non-transferable, and are not property.

All purchases are final except as required by applicable law or as expressly stated in an applicable refund policy. We may refuse, cancel, or limit transactions where we suspect fraud, abuse, chargeback risk, policy circumvention, or legal non-compliance.

You are responsible for all taxes, duties, levies, and similar governmental charges associated with your purchases, except taxes imposed on Neo Manta LLC's income.

The Services, including all software, interfaces, models, workflows, design elements, trademarks, logos, branding, compilations, and platform content other than your User Content, are owned by or licensed to Neo Manta LLC and are protected by applicable intellectual property and other laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, sublicense, rent, publish, reverse engineer, or otherwise exploit any portion of the Services.

The Services may integrate with or link to third-party websites, payment providers, model vendors, hosting providers, analytics tools, or external services. We do not control and are not responsible for third-party services, content, policies, or practices.

Your use of third-party services is governed by the applicable third-party terms and policies.

Your use of the Services is also subject to our Privacy Policy. By using the Services, you acknowledge that information may be processed in accordance with that policy.

While we take reasonable measures to protect the Services, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

We do not warrant that Outputs will be accurate, lawful, non-infringing, commercially valuable, suitable for your intended use, or accepted by any platform, regulator, customer, or third party. You are responsible for reviewing and validating Outputs before using, publishing, or relying on them.

To the maximum extent permitted by law, Neo Manta LLC and its officers, directors, employees, contractors, licensors, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or opportunities arising out of or related to the Services or these Terms.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of: (a) the amount you paid to us for the Services in the 12 months preceding the event giving rise to the claim; or (b) USD $100.

Some jurisdictions do not allow certain limitations or exclusions, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless Neo Manta LLC and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your User Content, your violation of these Terms, or your violation of any law or third-party rights.

If you believe that any content available through the Services infringes your copyright or other intellectual property rights, please send a written notice containing sufficient detail for us to investigate and respond.

We may remove or disable access to allegedly infringing material and may suspend or terminate repeat infringers where appropriate.

These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by the laws of the State of Delaware, without regard to conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts, except where mandatory law requires otherwise.

These Terms constitute the entire agreement between you and Neo Manta LLC regarding the Services and supersede all prior or contemporaneous understandings relating to the Services.

If any provision of these Terms is held unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms will not operate as a waiver of that provision or any other provision.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
